Terms and Conditions of Service: Odoo Community SaaS
Welcome to our Odoo Community SaaS platform (the "Service"). By subscribing to, accessing, or using our Service, you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions. Please read them carefully.
1. Scope of Service & Licensing
- Hosting Service Only: We provide managed hosting and infrastructure for the Odoo Community Edition.
- No Enterprise Licenses: This product does not include, come with, or grant any licenses for Odoo Enterprise Edition functionality. If you require Odoo Enterprise features, you are solely responsible for procuring those licenses independently from Odoo S.A.
2. No Refunds & Subscription Policy
- All Sales Are Final: The Service is billed in advance on a subscription basis. Product purchases and subscription renewals are strictly non-refundable.
- No Pause Option: Subscriptions run continuously. We do not offer the ability to pause or temporarily freeze your subscription.
3. Late Payments, Suspension, and Deletion
If a subscription payment fails or is overdue, the following strict timeline applies:
- Day 1 to 5 (Grace Period): Your service remains active, but you will receive overdue notices.
- Day 6 (Suspension): Your database and access to the Service will be suspended until payment is received.
- Day 21 (Permanent Deletion): If no payment is received within twenty (20) calendar days of the original due date, your database, configuration, and all associated data will be permanently and irreversibly deleted from our servers.
- Retroactive Billing: During any period of late payment or suspension, all overdue days will still be counted and included in your billing cycle. You must pay for the full period to restore access.
4. Backups and Data Integrity
- 24-Hour Backup Policy: We perform automated daily backups of your database. Backups are retained for a rolling period of 24 hours (1 day).
- Limitation: We do not maintain historical archives beyond this 24-hour window. It is highly recommended that you export and secure your own data periodically.
5. Security and Customer Credentials
- Account Security: You are solely responsible for maintaining the confidentiality and security of your login credentials (usernames and passwords).
- Liability: We are not responsible or liable for any data breaches, unauthorized access, or losses resulting from your failure to keep your credentials safe.
6. Third-Party Modules and Customizations
- App Store & Custom Code: If you choose to install third-party applications, modules, or custom code within your Odoo instance, you do so entirely at your own risk.
- Limitation of Liability: We are not responsible or liable to you or any third parties for any damages, errors, data corruption, legal non-compliance, or financial losses caused by faulty, malicious, or poorly configured third-party apps or customizations.
